Branch, subsidiary or representative office in Angola: which to choose?

One of the first decisions a foreign company faces when entering Angola is the form its presence will take. The right choice shapes everything that follows — liability, tax, what you can do locally and how much commitment it represents — so it is worth getting right from the start.

This is a general orientation. The best option depends on your goals, activity and appetite for commitment; each case should be assessed individually.

A subsidiary (a local company)

Incorporating a local company — typically a limited company — creates a separate Angolan legal entity that you own. It is the most common route for those who intend to operate fully and for the long term, and it generally offers the cleanest separation between the local business and the parent company.

A branch of the foreign company

A branch is an extension of the parent company rather than a separate entity. It can suit certain projects, but the parent remains more directly exposed, and the registration and tax implications differ from a subsidiary. It is a question of fit, not of one option being universally better.

A representative office

A representative office allows a presence for limited, typically non-trading purposes — such as liaison and market study. It is the lightest form of presence, but also the most limited in what it can do, so it suits a specific early phase rather than full operations.
